**Terms and Conditions for Harris Industries**

These Terms and Conditions ("Terms") constitute a legal agreement between you ("Client" or "Customer") and Harris Industries("Company," "we," "our," or "us") governing the provision of security services. By engaging our services, you agree to adhere to and be bound by these Terms. Please read them carefully.

**1. Services**

1.1. Harris Industries offers the following services:
- Alarm Installation, Service and Monitoring

- Fire Alarm, Elevator, Environmental Monitoring 

- Security Cameras Sales, Installation and Service

- Access Control Sales, Installation and Service

- Structured Cabling Installation

- WIFI System Installations

- VoIP Phone Installation and Service. 

1.2. The scope, details, and specific terms of the services will be outlined in a separate agreement, proposal, or contract.

1.3. The Company commits to providing services in a professional and diligent manner.

**2. Payment**

2.0 Deposits shall be made promptly to secure ordering equipment. 

2.1. Payment terms, including rates, fees, and payment schedules, will be stipulated in a separate agreement, invoice, or contract.

2.2. Payments are due within 15 days from the date of invoice, unless otherwise specified.

2.3. Late payments may incur an interest charge of 14% per month or the maximum rate permitted by law, whichever is lower.

2.4 In the Event that the Company shall proceed with collection activities on past due accounts (Liens, Collections or Court Proceedings) All Discounts are terminated and the Regular List Price will be charged.

**3. Cancellation and Termination**

3.1. Cancellation or termination of services is subject to the terms defined in the separate agreement, proposal, or contract.

3.2. Notice periods for termination will be specified in the separate agreement or contract.

3.3 Special Order Products may not be canceled or Returned. The company has no control over shipping or manufacturing delays that may come from the manufacture on products.

**4. Confidentiality**

4.1. Both parties agree to maintain the confidentiality of non-public information acquired during the course of our business relationship. This encompasses proprietary information, trade secrets, and any other confidential data.

4.2. Confidentiality obligations extend beyond the termination of our services.

**5. Liability and Indemnification**

​

5.1. The Company shall carry insurance coverage and indemnify the Client for any liability arising from the actions or omissions of its personnel during the provision of services.

5.2. The Client agrees to indemnify and hold harmless the Company from any claims or losses arising out of the Client's actions, decisions, or negligence.

5.3 Unless otherwise stated, the company does not provide extended warranties. It is the Clients responsibility to maintain and test their equipment regularly.

**6. Governing Law**

6.1. These Terms are governed by and construed in accordance with the laws of Ontario Canada.

6.2 The Company operates under the Construction Act of Ontario 2022.

**7. Changes to Terms and Conditions**

​

7.1. Harris Industries reserves the right to amend or modify these Terms at any time. We will notify you of any changes through our website or other means. Your continued use of our services following such changes implies your acceptance of the updated Terms.
